BIO

Lukáš Marek is a partner at FORLEX, specialising primarily in commercial law. He has fifteen years of experience advising on numerous major domestic and cross-border projects for a broad range of clients across various industry sectors. His practice focuses primarily on M&A transactions, corporate law, financing, intra-group restructurings and holding company structures. He also advises on contractual and commercial matters, energy projects and real estate projects.

In the area of M&A transactions, Lukáš has participated in numerous acquisitions and disposals of companies, representing both sellers and buyers, particularly in the energy, IT, telecommunications, agriculture, healthcare, engineering and education sectors. He also provides comprehensive legal advice to Czech and foreign clients on corporate reorganisations, including cross-border mergers, as well as on the establishment and structuring of joint ventures.

He also focuses on day-to-day corporate operations and corporate governance, as well as structural changes, including mandatory share transfer procedures, acquisition financing, financial assistance, changes in registered capital, the entry of investors into corporate structures and the establishment of related corporate arrangements.

In the area of energy and real estate projects, Lukáš provides legal services relating to legal due diligence and the structuring of relationships concerning individual facilities, as well as negotiating contracts for specific project sites and technologies. He also has extensive experience in dealing with specific contractual arrangements in the energy sector, particularly in the areas of renewable energy, balancing services and flexibility.

Before joining FORLEX in 2016, Lukáš worked for several years at one of Prague’s leading international law firms. He has also completed several internships, including in the United States, and studied abroad in Belgium.

• Long-term legal support to a client group active in the energy sector in the preparation and implementation of power balance management projects, including the contractual framework governing relationships with facilities, technology providers, partners involved in the provision of balancing services and flexibility aggregators.
• Advising investors on acquisitions of energy and agricultural assets in the Czech Republic, in particular bio-gas plants and other renewable energy sources, crop and livestock farms, including comprehensive legal due diligence and project reviews, identification of transaction risks, and preparation of acquisition and related financing documentation.
• Ongoing comprehensive legal advisory services to a leading passenger car manufacturer and one of the country’s key industrial enterprises, with extensive production for both European and non-European markets.
• Legal advice to a group of individuals on the sale of a company active in specialised glass technologies, together with its foreign subsidiaries, to a multinational strategic investor.
• Experience with transactions in the IT and cybersecurity sectors, including advising a group of sellers on the sale to a US investor of 100% of the dematerialised shares in a company providing computer network security services.
• Advising on the sale and acquisition of healthcare facilities, including specialised medical centres, with a focus on related regulatory aspects in the healthcare sector.
• Provision of legal services to a group providing modern internet television services and related infrastructure, particularly in the areas of restructuring and ownership consolidation, as well as contractual, copyright and other TMT matters.
• Participation in a broad range of other domestic and cross-border M&A transactions, including the acquisition of a major telecommunications operator; legal advice on the sale of a leading manufacturer of modular containers to a multinational group; participation in the acquisition of control over one of the most prestigious private universities in the Czech Republic; the acquisition of major crop farms and other agricultural assets for a major multinational group; participation in the indirect acquisition of a leading Czech manufacturer of automotive components; and other comparable transactions, including acquisitions of industrial sites and major office buildings in the capital city.
